Overview of role

This position will assist with a full range of corporate and transactional matters including the formation and maintenance of Partnerships, Limited Liability Companies, and Corporate Entities. You will succeed in this position if you are highly organized with excellent analytical skills and attention to detail. Qualified applicants will have at least two (2) years of experience in corporate compliance and an associate degree or Paralegal Certificate; Bachelor’s degree preferred. Substantial equivalent experience in corporate law will be considered in lieu of education. This position is eligible for a hybrid-remote work schedule after a period of in office training. 

 

Job Responsibilities 

  • Business/Corporate
  • Checks name availability and reserves or registers corporate name.
  • Drafts bylaws, notices of organizational meetings and resolutions to be adopted, minutes of organizational meetings of incorporator(s), stockholders or board of directors, or written consents in lieu of meeting, documents necessary to issue stock certificates including subscription agreements, receipts, stock certificates, restrictive legends, investment letters, stock and stockholder registers and trust agreements, employment agreements and confidentiality agreements for corporate officers and key employees, stockholders agreements, lease agreements and drafts and files articles or certificate of incorporation
  • Maintenance of Corporate Entities
  • Maintains corporate minute book and stockholder records.
  • Drafts amendments to articles or certificates of incorporation and drafts resolutions for the board of directors and stockholder approval, as necessary and appropriate.
  • Drafts amendments to bylaws and drafts resolutions for the board of directors and stockholders’ approval, as necessary and appropriate.
  • Formation and Maintenance of Partnerships and Limited Liability Companies
  • Checks name available and reserves or registers partnership or limited liability company name.
  • Drafts certificates of limited partnerships or articles or organizations.
  • Drafts partnership agreements for general and limited partnerships.
  • Drafts partnership and limited liability company annual reports and other state filings.
  • Maintains partnership and limited liability company records in a manner appropriate for the operation of the entity.
  • Transactions – Due Diligence Responsibilities, Consolidation, Merger, Reorganization,
  • Loan Documentation and Closing
  • Drafts documents for purchase-sale transactions (i.e., UCC financing statements and amendments, releases, affidavits, certificates, and other closing documents). Maintains liaison with opposing counsel regarding changes and amendments to documents.

Knowledge, Skills, and Abilities Required

  • Must possess a high level of professionalism and interpersonal skills to be able to work well with employees at all levels within the organization and maintain all information in the strictest of confidence.  Required to use tact and diplomacy when dealing with others.
  • Proficient with Microsoft Office software, including Outlook, Word, and Excel.
  • Must have the ability to read, write and communicate fluent English; ability to compose documents in the appropriate business style using correct grammar and spelling; ability to communicate clearly using proper grammar and diction over the telephone.
  • Must be detail-oriented and have excellent organizational skills; ability to balance multiple projects, work independently and have strong time management skills, as well as prioritize workload.
  • Must have the ability to reason and apply common-sense understanding to situations encountered.
  • Ability to process routine daily functions while being able to resolve sensitive issues and complex assignments utilizing above-average critical thinking skills.
  • The physical demands of this position are representative of those that must be met by an employee for him or her to successfully perform the essential functions of the position.  These include being both mobile and stationary throughout the work day, having the ability to transport 20 pounds, and being able to operate a computer and other business equipment found in the office.
  • Ability to work overtime as needed.
  • Ability to travel as required.
